

Terms and conditions
These terms are designed to ensure a smooth, transparent, and productive relationship between GrowBright and our clients. We believe in straightforward agreements that protect both parties, allowing us to focus on what matters most, helping your business navigate the future of AI with confidence.
1. Applicability and formation
These terms apply to all services provided by GrowBright, a sole proprietorship (eenmanszaak) registered in the Netherlands (KVK). By signing a Statement of Work (SoW) or accepting a proposal, the Client acknowledges receipt and acceptance of these terms. These terms prevail over any terms provided by the Client.
2. Our services
We provide AI consultancy, solutions and training, tailored to small and medium-sized enterprises, specific to their business needs

Scope: Our core services include delivering AI strategy Roadmaps, AI Enablement Training for Teams, AI Design & Build projects, and ongoing AI Partnerships. We also offer custom solutions and services by agreement.

Value assessment: Every new engagement begins with an assessment of your business. This ensures we deliver a proposal that suits your needs and you can assess its value before committing to the next step.

Staged engagement: Work is delivered in stages, allowing you to review and approve each phase before moving to the next.

Service Definitions: Specific deliverables and timelines will be confirmed in a dedicated Statement of Work (SoW) before any billable work begins.
3. Payments and cancellations
We value your time and ask for the same in return to keep our scheduling effective.

Fees: Project fees are fixed and invoiced as specified in your Statement of Work (SoW). These fees are all-inclusive of preparation, delivery, and follow-up. Fees are payable prior to the start of each stage of the service engagement. All fees are exclusive of VAT. For EU business clients, VAT is reverse-charged.

Cancellations: You may reschedule a session once with at least 24 hours’ notice. Cancellations with less than 24 hours' notice may incur a 50% charge, and 'no-shows' are billed at the full rate.

Partnership Terms: Ongoing monthly retainers are invoiced in advance with 7-day payment terms.

Late payment: In accordance with Dutch law, late payments accrue statutory interest.
4. Intellectual property
We share our expertise to help you grow, while protecting the unique methodologies that define GrowBright.

Client ownership: You own the final deliverables we create specifically for your business once payment is complete.

GrowBright IP: We retain ownership of our pre-existing frameworks, training templates, and tools used to deliver the services.

Rights to expertise: While we keep your specific business data and strategy strictly confidential, GrowBright retains the right to use the skills, knowledge, and 'lessons learned' gained during the project to improve our services.
5. AI safety and responsibility
As an AI consultancy, we believe in a "Human-in-the-Loop" approach to ensure technology is used safely and effectively

Human oversight: You agree that all AI-generated outputs require appropriate human review and judgment before being used for critical business decisions.

Third-party tools: You remain responsible for obtaining and managing your own licenses for third-party AI tools (e.g., ChatGPT, Claude) used during our engagement.

Liability limits: We are not liable for business decisions made based on AI outputs or for outages caused by third-party AI platforms. Total liability is limited to the amount paid by the Client for the specific service in question. Indirect or consequential damages are excluded.
6. Confidentiality and trust
Integrity is one of our core values, and we treat your proprietary information with the highest level of care.

Mutual trust: Both parties agree to keep all proprietary information shared during our engagement strictly confidential.

Client reference: We may reference you as a client in our marketing materials only after your request and approval.
7. Governing law
GrowBright is a sole proprietorship (Eenmanszaak) registered in the Netherlands with the Chamber of Commerce (KVK).

Jurisdiction: These terms are governed by Dutch law, and any disputes will be resolved by the courts of Amsterdam.
